1. Acceptance of Terms
By clicking "I Agree," creating an account, or accessing/using the CubeSites platform ("Service"), you acknowledge that you have read, understood, and agree to be bound by these Terms of Service ("Terms"), which form a legally binding agreement between you and CubeSites ("we," "us," or "our"). If you do not agree to these Terms, you must not access or use the Service.
2. Description of Service
CubeSites provides a local SEO and reputation management platform that helps businesses manage their online presence, specifically through integration with Google Business Profile. Our services include profile auditing, review management, and business information synchronization.
3. License Grant and Restrictions
Subject to your compliance with these Terms, CubeSites grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service solely for your internal business purposes. You shall not (and shall not permit any third party to): (a) copy, modify, or create derivative works of the Service; (b) reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of any software underlying the Service except to the extent permitted by law; (c) use the Service to build a competing product or service; or (d) resell, lease, rent, or otherwise make the Service available to any third party except as expressly permitted in writing by CubeSites.
4. User Accounts and Registration
To access certain features of the Service, you must register for an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete. You are responsible for safeguarding your password and for all activities that occur under your account.
5. Google Integration and Compliance
Our Service integrates with Google Business Profile APIs. Your use of these features is subject to the following specific terms:
- Google Terms: You agree to comply with the Google Terms of Service, the Google Maps/Google Earth Additional Terms of Service, and the Google Privacy Policy.
- Authorization: By connecting your Google Business Profile, you expressly authorize CubeSites to access, manage, and update your business information and reviews on your behalf.
- Disassociation: You may disconnect your Google Business Profile from our Service at any time. Upon termination of your account or request for disconnection, we guarantee to disassociate your Google Business Profile account from our application within seven (7) business days.
- Notification of Changes: We will notify you of any changes made to your Google Business Profile account through our Service within 48 hours of such changes, separate from any automatic notifications provided by Google.
- Content Storage: We do not cache Google content for more than thirty (30) calendar days.
6. Acceptable Use Policy and Review Management
You agree to use the Service in compliance with all applicable laws and regulations, including the Federal Trade Commission (FTC) guidelines on consumer reviews. Specifically, you agree NOT to:
- Selectively request reviews only from customers likely to leave positive feedback ("review gating").
- Suppress, hide, or fail to publish negative reviews based on their sentiment.
- Offer incentives, money, or gifts conditioned on customers leaving positive reviews.
- Post reviews from employees, officers, or family members without clear and conspicuous disclosure of the relationship.
- Generate fake reviews or purchase reviews from third parties.
You are solely responsible for ensuring that your use of the Service complies with all applicable laws, regulations, and industry standards, including but not limited to the Federal Trade Commission (FTC) Consumer Reviews and Testimonials Rule, state unfair competition laws, and any advertising standards that apply to your business.
Violation of these policies may result in immediate suspension or termination of your account and may expose you to civil penalties under the FTC Consumer Reviews and Testimonials Rule.
7. Communications and TCPA Compliance
- Consent Warranty: You represent and warrant that you have obtained valid Prior Express Written Consent (PEWC) from each recipient in compliance with the Telephone Consumer Protection Act (TCPA) and CAN-SPAM Act before sending any communications through the Platform.
- Identification: Such consent must specifically identify your business as the entity authorized to send automated text messages.
- Record Keeping: You agree to maintain accurate records of all consents for a minimum of five (5) years.
- Opt-Out: You must honor all opt-out requests immediately. Our Service provides tools to manage opt-outs, but you remain ultimately responsible for compliance.
8. Subscription and Payment
- Billing: Your subscription will automatically renew at the end of each billing period unless you cancel before the renewal date.
- Cancellation: You may cancel your subscription at any time through your account dashboard. Cancellations are effective at the end of the current billing period.
- Refunds: Payments are non-refundable except as required by law or as explicitly stated in our refund policy.
9. Intellectual Property
The Service and its original content, features, and functionality are and will remain the exclusive property of CubeSites and its licensors. The Service is protected by copyright, trademark, and other laws of both the United States and foreign countries.
10. Disclaimers and Warranties
THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. CUBESITES MAKES NO REPRESENTATIONS OR WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, AS TO THE OPERATION OF THEIR SERVICES, OR THE INFORMATION, CONTENT, OR MATERIALS INCLUDED THEREIN.
Reputation Disclaimer: We do not guarantee any specific results, rankings, ratings, or improvements to your business reputation. Review visibility, Google Business Profile performance, and customer responses are subject to factors outside our control, including Google's algorithms and policies.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, CUBESITES' TOTAL LIABILITY FOR ANY CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT PAID BY YOU TO CUBESITES DURING THE TWELVE (12) MONTHS PRIOR TO THE CLAIM. IN NO EVENT SHALL CUBESITES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES.
12. Indemnification
You agree to defend, indemnify, and hold harmless CubeSites and its licensee and licensors, and their employees, contractors, agents, officers, and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees), resulting from or arising out of a) your use and access of the Service, or b) a breach of these Terms, specifically including any violation of the TCPA, FTC guidelines, or Google API policies.
13. Account Termination
You may terminate your account at any time through your account dashboard or by contacting us at [email protected]. We may suspend or terminate your account immediately, without prior notice or liability, if you breach these Terms or engage in prohibited activities.
Upon termination, your right to use the Service will cease immediately. We will retain and use your information as necessary to comply with our legal obligations, resolve disputes, and enforce our agreements. Google Business Profile disconnection will be completed within seven (7) business days as specified in Section 4.
14. Modification of Terms
We reserve the right to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.
By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, you must stop using the Service.
15. Severability
If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law and the remaining provisions will continue in full force and effect.
16. Dispute Resolution and Governing Law
These Terms shall be governed by the laws of the State of California, without regard to its conflict of law provisions. Any dispute not resolved informally shall be resolved by binding arbitration administered by JAMS or the American Arbitration Association under its Commercial Arbitration Rules.
Class Action Waiver: You agree that any arbitration or proceeding shall be limited to the dispute between you and CubeSites individually. You agree to waive any right to have any dispute heard as a class action, collective action, or representative action.
